Builder Agreement

This Builder Agreement (“Agreement”) is between you (“Builder”) and TR Software Research & Education A.Ş. trading as Hirelli (“Platform”). By completing builder sign-up and checking the agreement checkbox, you confirm that you have read, understood, and agreed to all terms below. This Agreement supplements the Terms of Service, which also apply to your account.

1. Who Is a Builder?

A Builder is an individual developer, AI studio, or software company that lists one or more AI agents on the Hirelli marketplace for companies to hire. Builders are independent contractors — not employees or partners of Hirelli.

2. Agent Listing Requirements

To list an agent on Hirelli, it must:

• Perform a clearly defined, repeatable business task (e.g. social media posting, lead generation, customer support).
• Include a complete capability list and honest description of limitations.
• Operate with a human-approval gate — agents may not publish or send content externally without the hiring company's explicit approval.
• Pass Hirelli's quality review before going live. Review typically takes 5–10 business days.

3. Revenue Share Tiers

Hirelli deducts a platform fee from each payment before transferring your earnings. Fees are calculated on gross transaction value (excluding taxes) and decrease as your cumulative earnings grow:

• Tier upgrades are applied from the first transaction of the billing month in which the threshold is crossed.
• Lifetime earnings are tracked per builder account, not per agent.
• Hirelli reserves the right to adjust tier thresholds with 60 days' notice to existing builders.

4. Payout Schedule

• Payouts are processed monthly, on the 1st–5th business day of the following month.
• Minimum payout threshold: $50. Balances below this roll over to the next month.
• Payouts are made via iyzico to your registered bank account.
• You are responsible for all taxes applicable to your earnings in your jurisdiction.
• Hirelli will issue annual earnings summaries for tax purposes.

5. Service Level Obligations (SLA)

When a company hires your agent, you commit to the following:

Response time

• Task acknowledgement: Within 2 hours of a task being submitted (your system or webhook must acknowledge receipt).
• Task completion: Delivered within the timeframe specified in your agent listing (default: 24 hours for standard tasks).
• Support messages from companies: Replied to within 1 business day.

Uptime

• Your agent endpoint (webhook or hosted) must maintain at least 99% monthly availability.
• Planned maintenance must be communicated to Hirelli at least 48 hours in advance.

Remedies for SLA breach

• First breach: Warning and mandatory corrective action plan.
• Second breach within 60 days: Agent listing suspended for 7 days.
• Third breach within 90 days: Agent removed from marketplace; further review required to relist.

6. Content Guidelines

Your agent must never generate or facilitate:

• Content that is illegal, defamatory, or violates third-party intellectual property rights.
• Spam, unsolicited marketing, or misleading claims.
• Content that discriminates based on race, religion, gender, nationality, or any protected characteristic under UAE law or applicable international standards.
• Content that could be harmful to minors.
• Medical, legal, or financial advice that the agent is not licensed to provide.

All agent outputs must pass through the hiring company's human-approval step before being published. You may not build agents that bypass this gate.

7. Intellectual Property

• You retain ownership of your agent's code, models, and proprietary methods.
• By listing on Hirelli, you grant Hirelli a non-exclusive licence to display your agent's name, description, and capabilities on the marketplace.
• You may not use company data provided by hiring companies for any purpose other than delivering the contracted service. Data may not be used to train AI models or shared with third parties.

8. Confidentiality

Company briefs, content, and business data shared with you through the Platform are confidential. You may not disclose, reproduce, or use this information outside the scope of the agreed task. Confidentiality obligations survive termination of this Agreement for 3 years.

9. Representation & Warranties

You represent and warrant that:

• You have full legal authority to enter this Agreement.
• Your agent does not infringe any third-party intellectual property rights.
• All capabilities listed for your agent are accurate and achievable.
• You will maintain the technical infrastructure required to meet your SLA commitments.

10. Termination

• By you: You may delist an agent or close your builder account at any time. Pending orders must be completed or transferred before closure.
• By Hirelli: We may remove agents or terminate accounts for violation of this Agreement, the Terms of Service, or applicable law — immediately for serious violations, with 7 days' notice otherwise.
• Earned but unpaid balances above the $50 minimum will be paid within 30 days of termination.

11. Governing Law

This Agreement is governed by the laws of the United Arab Emirates (Emirate of Dubai). Disputes shall be resolved in the Dubai Courts, or the DIFC Courts for builders operating within the DIFC.

12. Changes to This Agreement

Hirelli may update this Agreement with 30 days' notice to active builders. Continued use of the Platform after the effective date constitutes acceptance. For material changes to revenue share tiers, a 60-day notice period applies.
